1. Scope and Agreement

These Terms and Conditions of Sale ("Terms") constitute a legally binding agreement between you (either as an individual or a legal entity, hereinafter "Customer" or "you") and **Pierre Laurens Audio** ("we", "us", or "our") concerning the purchase and use of the **PLayer** software license ("Software").

By requesting a license, paying the invoice, or installing, copying, or otherwise using the Software, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. License Grant

  • Lifetime License: The license for PLayer is a lifetime, non-exclusive, non-transferable, and revocable license granted to use the Software on a single (1) compatible hardware device running Windows or macOS, in accordance with the target platform selected at checkout.
  • Student/Educator License: Educational licenses are strictly reserved for academic use. Commercial use of educational licenses is prohibited. We reserve the right to verify academic eligibility.
  • Restrictions: You may not lease, rent, redistribute, reverse-engineer, decompile, or create derivative works based on the Software.

3. Disclaimer of Warranties ("AS IS")

PLEASE READ CAREFULLY. PLayer is a highly specialized live audio tool. While we test the Software extensively, you recognize that software cannot be guaranteed entirely free of bugs, errors, or malfunctions.

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. PIERRE LAURENS AUDIO EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE SOFTWARE WILL MEET YOUR REQUIREMENTS, THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED, BUG-FREE, OR ERROR-FREE, THAT THE CRASH RECOVERY SYSTEM WILL RESTORE DATA IN 100% OF CASES, OR THAT DEFECTS IN THE SOFTWARE WILL BE CORRECTED.

4. Limitation of Liability

IN NO EVENT SHALL PIERRE LAURENS AUDIO BE LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO SPECIAL, DIRECT, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

THIS LIMITATION INCLUDES, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF REVENUE, BUSINESS INTERRUPTION, LOSS OF BROADCAST OR CUE DATA, HARDWARE FAILURE, SYSTEM CRASHES, SYSTEM LATENCY ISSUES, OR AUDIENCE DISSATISFACTION ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF PIERRE LAURENS AUDIO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY CASE, PIERRE LAURENS AUDIO'S ENTIRE LIABILITY UNDER ANY PROVISION OF THESE TERMS SHALL BE STRICTLY LIMITED TO THE ACTUAL AMOUNT PAID BY YOU FOR THE INDIVIDUAL LICENSE (i.e., 199€ FOR LIFETIME LICENSES OR 49€ FOR ACADEMIC LICENSES).

5. Live Use and Redundancy Recommendation

The Software is designed for broadcast, theater, and live performances where stability is critical. Although the Software contains built-in redundancy mechanisms (Leader/Follower Redundancy Sync over WebSocket), the Customer agrees that:

  • It is the Customer's sole responsibility to set up, test, configure, and maintain the appropriate hardware systems, network infrastructure, and redundant standby setups.
  • The use of two separate license activations on two independent devices synced via WebSocket is highly recommended for mission-critical events. We shall not be held liable for failure to maintain adequate hardware backup strategies.

6. Prices, Invoicing and Delivery

  • Prices: All prices shown are in Euros (€) and are subject to VAT exemptions applicable to small micro-enterprises under French tax law (TVA non applicable, art. 293 B du CGI).
  • Ordering Process: Ordering is completed via our request form. Upon review, we manually email you a pro-forma invoice containing SEPA bank transfer information.
  • Delivery: The digital license activation key will be dispatched by email to the Customer immediately after verification of receipt of the bank transfer payment.

7. Refund Policy

Due to the digital nature of the Software, once a license activation key has been issued, the license cannot be returned or revoked. However, we offer a 14-day money-back guarantee under specific conditions if the software has not been activated, or if there is a verified technical incompatibility. 8. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of **France**, without regard to its conflict of law principles.

Any dispute arising from or relating to the subject matter of these Terms shall be subject to the exclusive jurisdiction of the competent courts of **Paris, France**.
